Our Back Story

SBA & Partners was founded in 2017. SBA & Partners was formed out of the need for a corporate, business and credible law firm that provides prompt and practical legal advice and services tailored to the business needs of both domestic and international companies, professionally. At SBA & Partners, we advise clients on transactions, structure and negotiate business transactions, perform due diligence, draft transactional documents, counsel clients, prepare and submit materials to regulatory authorities, perform legal research, supervise closings, and draft a variety of legal documents including contracts, resolutions and legal opinions. We are licensed and operate under the regulations of the General Legal Council.

Proven Experiences

  1. Represented Ghana’s strategic oil and gas company in an arbitration at the Arbitral Tribunal of the International Chamber of Commerce in Paris, following a claim filed by an international logistics company, arising out of a contract for Depot Upgrade, Operation, and Management & Maintenance.
  2. As lawyers for the Ghanaian Libyan joint venture company (GLAHCO), we initiated arbitration proceedings at the Ghana Arbitration Centre against Atlantic Tableware Manufacturing Company Limited, a Chinese manufacturing company, to enforce a commercial lease agreement.
  3. As lawyers for the Ghanaian Libyan joint venture company (GLAHCO), we initiated arbitration proceedings at the Ghana Arbitration Centre against Hawes and Curtis, to enforce a commercial lease agreement.
  4. Represented a Portuguese construction firm in a multimillion-dollar dispute arising out of a Design, Engineering, Procurement Installation and Construction contract with a South African Construction firm for the construction of an Oil Storage tank at the Takoradi Port in Ghana, which said agreement was governed by the FIDIC- Conditions of subcontract for construction.

  1. Transaction Advisor to a public institution responsible for education infrastructure funding, on their multibillion Ghana cedi accordion loan transaction.
  2. Transaction Advisor to a public institution agency responsible for education infrastructure funding, on their multimillion Ghana cedi syndicated loan transaction.
  3. Transaction Advisor to a public institution responsible for education infrastructure funding, on a multibillion bond transaction.

  1. Legal consultants to a public institution on a project involving the review of the institution’s establishing law.
  2. Advised two multinational clients in the upstream sector of the oil and gas industry in an M&A transaction.
  3. Restructured the shareholding and governance structure of a multinational company within the upstream service sector of the oil and gas industry in Ghana.
  4. Advised and represented a multinational shipping company in the upstream service industry in a joint venture with a Singaporean shipping company.

  1. Represented a public institution responsible for education infrastructure funding, in an appeal before the Supreme Court involving a construction dispute between the said institution and a contractor, where a decision of the Court of Appeal affirming a decision of the High Court was successfully overturned.
  2. Advised and represented Ghana’s only oil refinery in a dispute arising from a Design, Engineering, Procurement Installation and Construction contract, which said contract was governed by the FIDIC- Conditions.
  3. Advised a Portuguese construction firm in a multimillion-dollar Design, Engineering, Procurement Installation and Construction transaction for the construction of an Oil Storage tank at the Takoradi Port in Ghana, which said agreement was governed by the FIDIC- Conditions of subcontract for construction.

  1. Advised a multi-million dollar non-governmental Health Research organization on issues of corporate governance and rights & obligations of members

  1. Negotiated the restructuring of a 500 million dollars syndicated dollar loan facility Agreement on behalf of a public institution responsible for education infrastructure funding.  
  2. On behalf of one of the leading banks in Ghana, negotiated the restructuring of a multi-million Cedis loan facility involving a major construction company.
  3. Recovered debts for several financial and banking institutions and individuals alike

Represented the family of the prominent Nigerian Businessman, High Chief Olu Benson Lullu-Briggs, in a cross-border dispute over his multimillion-dollar estate.

Representative of a Dutch liquidator in the management of assets of a Dutch shipping company, which is the subject of liquidation in the Netherlands.

  1. Represented some senior management staff of a Ghanaian financial institution in negotiating their redundancy packages.
  2. Represented a former employee of Nestle Cote d’Ivoire and obtained judgment against Nestle West and Central Africa in a claim for unlawful interference with his employment contract with Nestle Cote d’Ivoire.
  3. Represented a former staff of a multi-national food and beverage company in negotiating her redundancy package.
  4. Successfully obtained orders of the Supreme Court quashing the decision of the High Court, Accra, enforcing a decision of the National Labour Commission against Golden Tulip Hotel.
  5. Represented a number of Plaintiffs in unlawful termination suits as well as defended a number of corporate entities against unlawful termination suits.

  1. Represented a multi-million dollar Joint Venture company, owned by the governments of Ghana and Libya in a case against a commercial Bank in Ghana for fraudulent misrepresentation and breach of contract over an agreement for a syndicated loan by the said Bank.
  2. Represented Ghana Libyan-Arab Holding Company Limited (GLAHCO), a joint venture company between the governments of Ghana and Libya, in a claim for breach of contract against a Chinese manufacturing company and obtained a favorable arbitral award.
  3. Represented Magna Transport and Logistics against Vodafone Ghana in a GHC 16 million claim which was eventually settled with a consent judgment.
  4. Representing some beneficiaries of a multimillion-dollar Trust, seeking accountability from the Trustees.
  5. Represented an Italian Furniture-maker and interior design and decoration architecture firm, in a cross-border business tort action instituted by Cassa Trassaco.
  6. Represented and successfully defended a Nigerian owned Ghanaian based oil and gas company in an industrial and labour dispute before the High Court, Accra (Industrial and Labour Division) for unlawful termination.
  7. Represented the University of Energy and Natural Resources (UENR) to settle dispute between former vice chancellor and UENR on the grounds of re-instatement of role (associate professor instead of VC

Represented a Nigerian oil and gas company in a dispute with its joint operating partners for being wrongfully excluded from participating in the exploration and development of an oil block under a Petroleum Agreement.
